On 2 July 2008 Jago S.A. Company Board signed with Ms. Elżbieta Sjöblom (Disposer) a purchase agreement of 21,000 shares of a nominal value of PLN 100 each and total nominal value of PLN 2,100,000 (two million one hundred thousand) of Chłodnia Łódź S.A. company what made 100% share of the Company and gives 100% of votes at the company’s General Meeting. The purchase price of the above assets amounted to PLN 4,000,000 (four million) and the assets of this book value will be included in the Issuer’s ledgers.
The source of financing of the assets purchase are own resources of the Issuer.
The purchase of the company’s shares is an accomplishment of earlier activities aiming at a consolidation in frozen food sector.
Chłodnia Łódź S.A. was founded in 1964 as a state company. The company owns: two cold stores (multi-level and one-storey), an ice cream plant, and a frozen food production plant.
Frozen food production plant is situated within the one-storey cold store. The production house is equipped with a freezing tunnel, two sharp freezer rooms, packing room, and storage chamber making the plant a modern, EU directive compliant complex. The company has an implemented HACCP system. Its production capacity in a monthly cycle is 150 tons of frozen food and 400 tons of ice cream.
Apart from production of ice cream and frozen food Chłodnia Łódź provides storing service and storage area rental service. Depending on product type the capability of Chłodnia Łódź storehouses is 10 to 15 thousand Euro pallets. The activity perfectly meets the basic business profile of Jago S.A. reinforcing the leader position of Jago S.A. on frozen food distribution and services market.
Chłodnia Łódź is a producer of well known and valued ice cream and frozen food not only on its local market but also in the rest of Poland. One of their brands is Lody Familijne ice cream, packed in 500 ml characteristic boxes, well known to Polish consumers for more than 25 years. Production is based on reliable and original recipes and modern technology. Using only natural ingredients gives the products high quality and the unique taste.
At present the company launches new series of Dania Familijne frozen meals packed in 450 and 900 g containers. Modern, distinctive packaging, original recipes and above all excellent quality and taste of the products distinguish Dania Familijne from competitive products. In the wide offer there are several new products which are produced by Chłodnia Łódź only. The products which really stand out on shelves are sweet yogurt dough dumplings, dumplings and beckon, potato dumplings with spinach and smoked beckon, sweet cottage cheese dumplings with prunes or bilberry filling.

On 30 July 2008 Jago S.A. Company Board signed with Ms. Halina Rutkowska a purchase agreement of 95 shares of a nominal value of PLN 750 each and total nominal value of PLN 71,250 (seventy one thousand two hundred and fifty) of Etka – Śnieżka Dystrybucja Sp. z o.o. company what made 94.059 % share of the Company and gives 94.059 % of votes at the company’s General Meeting.
The purchase price of the above assets amounted to PLN 650,000.
The source of financing of the assets purchase are own resources of the Issuer.
The Issuer treats the purchase of the Company as a next step towards frozen food sector consolidation process.
Etka – Śnieżka Dystrybucja Sp. z o.o. in 2007 gained sales income amounting to PLN 11,765,000. In the first half year of 2008 income increased to almost PLN 6,000,000.
The company owns a modern and UE directive compliant cold store. As a distribution company, it also owns a fleet of modern transport vehicles delivering goods to retail shops. The distribution services are provided by highly qualified and trained sale representatives. Etka – Śnieżka Dystrybucja Sp. z o.o. operates mainly in Częstochowa and its surroundings, distributing frozen food of leading producers.
Acquisition of Etka – Śnieżka Dystrybucyjna Sp. z o.o. contributed strengthening of Jago S.A. position of frozen food distributor in Częstochowa region.

On 27 August 2008 Jago S.A. Company Board signed an agreement with Chłodnia Milagros Sp. z o.o. company with its seat in Skierniewice, the subject of the contract was the sale of an organized part of the company which activities include sales of frozen food products to wholesale recipients, amounting to PLN 3,500,000.
In the agreement defined the transfer of ownership of Milagros company which will be effective after submitting non-pecuniary contribution of Milagros in return for 3,028,000 new issue shares of Jago S.A.
In 2007 Milagros sales income amounted to over PLN 50,000,000. In the first half year of 2008 the sales income amounted to over PLN 30,000,000.
The takeover of Milagros company reinforced Jago S.A. position in Mazovia and Łódź districts, in the wholesale sector what, combined with capacities of the newly constructed storage houses in Bieniewo-Parcela, allows further dynamic development of Jago Group.
